How to Start an LLC in Nevada (2026)
The number most sites quote for a Nevada LLC is $75. That is the fee for the Articles of Organization alone, and Nevada will not accept the Articles alone. State law requires two more filings in the same transaction: the Initial List of Managers or Managing Members ($150) and the State Business License ($200). The real amount you pay the Nevada Secretary of State to form an LLC is $425. This guide walks through the whole process in order, with the statute behind each fee.
The Three Filings That Form a Nevada LLC
Nevada bundles formation into one packet with three components, each carrying its own fee:
| Filing | Fee | Statute |
|---|---|---|
| Articles of Organization | $75 | NRS 86.561(1)(a) |
| Initial List of Managers or Managing Members | $150 | NRS 86.263 |
| State Business License | $200 | NRS 76.100 |
| Total due at filing | $425 |
Under NRS 86.263 the Initial List is due at the time the Articles of Organization are filed, and NRS 76.100 requires the State Business License at the time of that initial list. None of the three is optional for a standard LLC.
About form numbers: Nevada Secretary of State forms are not numbered; they are identified by NRS chapter. Formation is distributed as the "Formation - Limited-Liability Company" Complete Packet containing all three documents (Articles of Organization, Initial List, and State Business License application), and the same bundle is filed online through SilverFlume, the official state business portal.
Steps to Form Your Nevada LLC
- Choose a compliant name. Your name must be distinguishable from every entity already on record with the Nevada Secretary of State and include a designator such as "LLC," "L.L.C.," or "Limited Liability Company." Run it through the state's business entity search before you commit to logos or domains.
- Appoint a registered agent. NRS 86.231 requires every Nevada LLC to keep a registered agent with a street address in the state for service of process. You can hire a commercial agent, name an individual, or designate an office or position within your own LLC if it has a physical Nevada address. Full details on our registered agent page.
- File the formation packet. Submit the Articles of Organization together with the Initial List of Managers or Managing Members and the State Business License application, either online through SilverFlume or on the paper Complete Packet filed with the Nevada Secretary of State. Pay the $425 in combined fees. Online submissions generally move through faster than mailed paperwork.
- Adopt an operating agreement. Nevada does not ask you to file one, but your bank will want to see it and your co-owners will want the terms in writing. It sets ownership percentages, profit splits, voting rules, and exit terms.
- Get your EIN from the IRS. The federal tax ID is free at IRS.gov and takes about ten minutes. Never pay a third party for this.
- Calendar your annual filings. Every year, by the last day of your anniversary month, Nevada expects the Annual List ($150) and the State Business License renewal ($200), a $350 recurring total. Our annual requirements page covers the deadline mechanics and penalties.
